Furst Charge Passive Income Program

A structured way for pre-approved, credit-worthy participants across the United States to take part in Furst Charge's DC fast charging infrastructure — without operating a site yourself.

Overview

The Passive Income Program is Furst Charge's structured pathway for outside participants to take part in the economics of our DC fast charging deployments. It is built around a straightforward idea: Furst Charge sources, builds, and operates the infrastructure; pre-approved participants provide a portion of the capital behind it.

This is not a self-serve investment product. Every participant goes through a financial and credit worthiness review before being approved to move forward, and actual participation terms are set out in definitive agreements executed between Furst Charge and the participant — not in this document.

How It Works — Five Steps

Step 1: Initial Inquiry & Program Overview
You submit an inquiry through our website or by phone. Furst Charge sends the current program overview and initial application materials, and answers preliminary questions about how the program is structured.

Step 2: Financial & Credit Worthiness Pre-Approval (Required — no exceptions)
Before any funds change hands, applicants complete a financial and credit review. This step exists to confirm a participant is positioned to participate responsibly — Furst Charge does not accept participation applications without it.

Step 3: Participation Entry Fee — $2,500 (Due upon pre-approval)
Once pre-approved, participants pay a $2,500 participation entry fee. This fee covers program administration, application processing, and underwriting review associated with formally opening a participant file — it is separate from, and does not constitute, a participant's capital contribution to any specific site or project.

Step 4: Site Matching, Feasibility Review & Definitive Agreements
Furst Charge presents available deployment opportunities matched to the participant's stated capital range and preferences. Before any capital is committed to a specific site, Furst Charge provides the participant with a full feasibility study and pro forma financial analysis for that site — covering traffic and demand assumptions, utility and interconnection considerations, projected utilization scenarios, and expected returns. Furst Charge and the participant will each review this analysis and must mutually agree that the site is a sound fit before moving forward. No participant is obligated to proceed with a site they are not comfortable with, and Furst Charge will not commit capital to a site without the participant's agreement. Participation in any specific site that both parties agree to move forward on is then governed by a separate, definitive written agreement describing the capital structure, terms, and revenue-sharing mechanics for that site.

Step 5: Ongoing Reporting & Distributions
Once capital is deployed to a matched site, participants receive periodic reporting through the Furst Charge Network (EVCloud) platform, and distributions are administered according to the terms of the definitive agreement for that site.

Frequently Asked Questions

Will I see the numbers on a site before I commit any money?
Yes. Furst Charge provides a full feasibility study and pro forma financial analysis for each specific site before any capital is committed — not after. Both Furst Charge and the participant must agree the site is a good fit before moving forward to a definitive agreement.

Is the $2,500 fee refundable?
Refund terms are set out in the program's written application materials provided during Step 1. Ask for the current refund policy before paying the fee if that's a deciding factor for you.

What returns can I expect?
Furst Charge does not publish or promise specific rates of return on a program-wide basis. Site-specific projections are provided in the feasibility study and pro forma for each matched site, and are estimates — not guarantees. Charging infrastructure revenue depends on utilization, utility costs, and site performance, all of which vary.

Is this program available in my state?
The program is offered nationally, but participation is subject to applicable state and federal law, which can affect how or whether the program is offered in a given state. This is confirmed during pre-approval.

Is this an investment in securities?
Depending on how a specific participation is structured, it may be treated as a security under federal or state law. Where that is the case, participation will be conducted in accordance with applicable securities laws and exemptions, and you will receive the disclosures required for that structure before committing capital.

Do I need to be an accredited investor?
Some participation structures may be limited to accredited investors under SEC rules; others may not. Which applies depends on the specific site and structure you're matched with, and will be addressed directly during pre-approval and before any definitive agreement is signed.

What if I don't agree with the feasibility study's conclusions on a site?
You're not obligated to proceed. Site participation requires mutual agreement — if you're not comfortable with a matched site after reviewing its feasibility study and pro forma, you can decline it and wait for another match.

How long does pre-approval take?
Timing depends on how quickly financial and credit documentation is provided. Contact us for current processing time estimates.

Program Disclosures — Please Read Before Applying

This is not an offer to sell securities.
Nothing here constitutes an offer to sell, or a solicitation of an offer to buy, any security in any jurisdiction where such an offer or solicitation would be unlawful. Any actual offering, if applicable to a given participation structure, will be made only through definitive offering documents and only to participants who meet the applicable legal requirements.

No guaranteed returns.
Furst Charge does not guarantee any specific rate of return, income level, or outcome from participation in the Passive Income Program. Feasibility studies and pro forma analyses are planning tools based on stated assumptions and available data at the time they are prepared — they are not guarantees of actual performance. EV charging infrastructure revenue is affected by utilization, utility rates, incentive availability, and site-specific factors that can change. Past performance of any Furst Charge site is not a guarantee of future results for any other site.

Pre-approval and the participation fee.
Financial and credit worthiness pre-approval is required before the $2,500 participation entry fee is collected and before any capital participation is discussed for a specific site. Pre-approval does not guarantee that a matching site will be available, or that participation terms will meet any particular participant's expectations.

Consult your own advisors.
Furst Charge is not a registered investment advisor, broker-dealer, or law firm, and nothing here is investment, legal, or tax advice. Prospective participants should consult their own independent financial, legal, and tax advisors before applying to, paying a fee toward, or participating in the program — including before relying on any feasibility study or pro forma provided.

State-by-state availability.
While the program is offered nationally, Furst Charge reserves the right to limit, modify, or decline participation in any state or for any applicant where required by applicable law, licensing requirements, or program capacity.
